These Terms of Service ("Terms", "Terms of Service", or "Agreement") govern your access to and use of the 247Invoicing website, application, software, payment services, invoicing services, merchant tools, payment pages, dashboards, APIs, customer support systems, and related products and services (collectively, the "Services") operated by APX ENTERPRISES, operating as 247Invoicing (also trading as 247 Technologies), trading as 247Invoicing ("247Invoicing", "we", "us", or "our").

By creating an account, accessing the Services, creating an invoice, making a payment through a 247Invoicing payment page, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. ABOUT 247INVOICING

247Invoicing provides technology and operational services that enable eligible businesses, freelancers, merchants, and other approved users ("Merchants") to create invoices, payment requests, payment pages, transaction records, and related business tools.

Depending on the applicable service and payment method, 247Invoicing may facilitate or connect users with third-party payment processors, financial institutions, payment service providers, cryptocurrency service providers, banking partners, identity-verification providers, fraud-prevention providers, or other third-party service providers.

247Invoicing may not itself be the financial institution, card network, bank, cryptocurrency exchange, acquiring bank, payment processor, or issuer responsible for processing a particular transaction.

The specific provider responsible for processing a transaction may vary according to the payment method, country, currency, transaction type, and availability.

2. ELIGIBILITY

You may use the Services only if:

1. You are legally capable of entering into a binding agreement;
2. You meet the minimum age requirements applicable in your jurisdiction;
3. You have authority to enter into these Terms on behalf of a business or organization, where applicable;
4. Your use of the Services complies with all applicable laws and regulations;
5. You are not subject to applicable sanctions or restrictions that prohibit you from using the Services; and
6. You satisfy any additional eligibility, verification, risk, or onboarding requirements imposed by 247Invoicing or its service providers.

We may refuse service to any person or business where reasonably necessary to comply with law, regulatory obligations, risk controls, payment-network requirements, or our internal policies.

3. ACCOUNT REGISTRATION

Certain Services require you to create an account.

You agree to provide information that is accurate, complete, current, and not misleading.

You must promptly update information that becomes inaccurate or outdated.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• protecting access to your account;
• using appropriate passwords and security measures;
• notifying us promptly of suspected unauthorized access;
• ensuring that individuals using your account are authorized to do so; and
• all activity conducted through your account, subject to applicable law.

You must not:

• create an account using another person's identity;
• impersonate another person or business;
• create accounts for fraudulent purposes;
• provide false or misleading verification information;
• sell, rent, transfer, or improperly share your account; or
• attempt to bypass our verification or security controls.

We may require additional verification before allowing access to particular Services.

4. BUSINESS AND MERCHANT VERIFICATION

247Invoicing may require Merchants to complete identity, business, address, ownership, tax, or other verification procedures.

Information requested may include, where legally appropriate:

• legal name;
• business name;
• government-issued identification;
• business registration information;
• beneficial ownership information;
• proof of address;
• bank or payout information;
• tax information;
• information regarding the nature of your business;
• information about expected transaction volume; and
• supporting documents.

Verification may be performed by 247Invoicing or by third-party providers acting on our behalf.

Submitting documents does not guarantee approval.

We may request additional information where necessary to verify your identity, assess risk, comply with applicable laws, or satisfy our payment partners' requirements.

We may suspend or restrict certain account functions while verification is pending.

5. INVOICES

Merchants may use 247Invoicing to create invoices and payment requests.

Merchants are solely responsible for ensuring that information included in their invoices is accurate, including:

• product or service descriptions;
• quantities;
• prices;
• taxes;
• discounts;
• customer information;
• payment terms;
• currencies;
• due dates; and
• other invoice information.

247Invoicing does not guarantee that an invoice will be paid.

An invoice does not constitute proof that goods or services have been delivered.

Unless expressly stated otherwise, 247Invoicing is not a party to the underlying commercial transaction between a Merchant and the Merchant's customer.

The Merchant remains responsible for fulfilling its contractual obligations to its customers.

6. CUSTOMER PAYMENTS

Customers may be able to pay Merchant invoices using payment methods made available through the applicable payment page.

Available payment methods may vary by:

• country;
• currency;
• transaction amount;
• merchant eligibility;
• payment provider;
• card or bank;
• regulatory restrictions; and
• technical availability.

A payment being initiated does not necessarily mean that it has been successfully completed.

A transaction may remain pending while the applicable payment provider, bank, card network, or 247Invoicing completes processing or review.

A payment may be declined, reversed, refunded, delayed, held, or otherwise restricted.

7. THIRD-PARTY PAYMENT PROVIDERS

Payments may be processed through third-party providers.

These providers may impose their own terms, privacy policies, transaction limits, fees, verification requirements, fraud controls, and restrictions.

Where a third party processes a payment, the third party may independently determine whether to approve, decline, delay, reverse, or restrict the transaction.

247Invoicing is not responsible for failures caused solely by a third-party provider, bank, card network, blockchain network, or other external infrastructure, although we will use reasonable efforts to assist with eligible support requests.

8. PAYMENT REVIEW AND RISK CONTROLS

To protect users and the platform, transactions may be automatically or manually reviewed.

A review may occur because of:

• unusual transaction activity;
• unusually large transactions;
• suspected fraud;
• identity or business verification issues;
• sanctions or compliance screening;
• payment-provider requirements;
• disputed transactions;
• unusual geographic activity;
• suspicious account behavior;
• potentially prohibited goods or services;
• security concerns; or
• other legitimate risk indicators.

During a review, a transaction or account may be placed into a pending or restricted status.

247Invoicing may request additional information before completing the transaction or payout.

We do not guarantee a specific review duration.

9. FEES

247Invoicing may charge transaction fees, service fees, subscription fees, withdrawal fees, currency-conversion charges, or other applicable charges.

Applicable fees will be disclosed through the relevant pricing page, checkout experience, invoice flow, account dashboard, or other applicable communication.

Unless otherwise stated, third-party fees may be separate from 247Invoicing fees.

Where applicable, fees may be deducted from transaction proceeds before payout.

247Invoicing reserves the right to change its fees prospectively by providing appropriate notice.

10. PAYOUTS

Eligible Merchants may receive funds through supported payout methods.

Payout availability depends on:

• successful payment completion;
• account verification;
• risk and compliance review;
• payment-provider settlement;
• banking availability;
• payout method;
• country;
• currency;
• weekends and public holidays;
• technical issues; and
• other circumstances outside our reasonable control.

Where 247Invoicing advertises a payout target such as "within 24 hours," this represents a target or expected processing period and is not an unconditional guarantee unless expressly stated otherwise.

A payout may be delayed where additional verification, fraud review, dispute handling, payment-provider settlement, or legal compliance is required.

11. CRYPTOCURRENCY PAYOUTS

Where cryptocurrency payouts are offered, availability depends on supported assets, networks, jurisdictions, service providers, and applicable laws.

Cryptocurrency transactions are generally irreversible once confirmed on the applicable blockchain.

You are responsible for providing accurate wallet information.

247Invoicing is not responsible for losses resulting from:

• an incorrect wallet address supplied by you;
• an incorrect blockchain network selected by you;
• unsupported assets;
• blockchain congestion;
• blockchain network failure;
• third-party wallet issues;
• exchange-rate fluctuations; or
• other blockchain-related events outside our reasonable control.

Cryptocurrency services may be subject to additional verification, transaction limits, fees, restrictions, and geographic limitations.

247Invoicing does not guarantee the availability or value of any cryptocurrency.

Nothing on the platform constitutes investment, trading, tax, or financial advice.

12. REFUNDS

Refunds may be subject to the terms of the applicable Merchant, payment provider, card network, bank, or other payment intermediary.

Unless expressly stated otherwise, 247Invoicing does not automatically guarantee refunds for the underlying goods or services purchased from a Merchant.

Merchants are responsible for their own refund and cancellation policies, subject to applicable law and the requirements of their payment providers.

Where 247Invoicing processes or assists with a refund, the timing may depend on the payment method and third-party provider.

13. DISPUTES AND CHARGEBACKS

Customers may have rights to dispute transactions under applicable law or the rules of their card issuer, bank, payment provider, or payment network.

A dispute, reversal, chargeback, or payment claim may result in funds being withheld, reversed, deducted, or otherwise adjusted.

Merchants agree to cooperate with reasonable requests for information relating to payment disputes.

247Invoicing may provide transaction information to applicable payment providers, financial institutions, or authorized parties where reasonably necessary to investigate a dispute or comply with applicable obligations.

14. PROHIBITED ACTIVITIES

You must not use the Services for illegal, fraudulent, deceptive, abusive, or unauthorized activities.

Prohibited activities include, without limitation:

• fraud;
• money laundering;
• terrorist financing;
• sanctions evasion;
• identity theft;
• impersonation;
• phishing;
• unauthorized financial services;
• sale of stolen goods;
• counterfeit goods;
• illegal drugs;
• unlawful gambling;
• trafficking;
• exploitation;
• illegal adult content;
• unauthorized financial products;
• Ponzi or pyramid schemes;
• deceptive investment schemes;
• transactions designed to evade payment-network rules;
• transactions intended to disguise the true nature of a business;
• transactions involving stolen payment credentials;
• malware or malicious software;
• activities that infringe intellectual-property rights;
• activities that violate applicable consumer-protection laws; or
• any activity prohibited by our payment partners.

We may maintain a separate Acceptable Use or Prohibited Activities Policy that forms part of these Terms.

15. MERCHANT RESPONSIBILITIES

Merchants are responsible for:

• their products and services;
• compliance with applicable laws;
• customer communications;
• pricing;
• taxes;
• fulfillment;
• delivery;
• refunds;
• warranties;
• consumer rights;
• intellectual-property rights;
• required licenses;
• business registrations; and
• accurate representations made to customers.

247Invoicing does not guarantee the quality, legality, safety, availability, or delivery of products or services sold by Merchants.

16. TAXES

You are responsible for determining and paying all taxes applicable to your business, transactions, income, products, or services.

247Invoicing does not provide tax advice.

Where legally required, we may collect, report, or disclose tax information to relevant authorities.

17. USER CONTENT

You may provide content through the Services, including:

• logos;
• business information;
• invoice descriptions;
• product descriptions;
• customer information;
• images;
• documents;
• messages; and
• other materials ("User Content").

You retain ownership of your User Content, subject to the rights necessary for us to operate the Services.

You grant 247Invoicing a limited, non-exclusive, worldwide license to host, store, reproduce, process, display, transmit, and otherwise use User Content solely as reasonably necessary to provide, secure, maintain, improve, and support the Services and comply with legal obligations.

You represent that you have the necessary rights to submit the User Content.

18. INTELLECTUAL PROPERTY

The Services and their underlying technology, software, designs, branding, logos, interfaces, documentation, and content are owned by or licensed to 247Invoicing and are protected by applicable intellectual-property laws.

Except as expressly permitted, you may not:

• copy;
• modify;
• distribute;
• reverse engineer;
• decompile;
• resell;
• reproduce;
• scrape;
• commercially exploit; or
• create derivative works from

the Services or our proprietary materials.

247Invoicing retains all rights not expressly granted under these Terms.

19. API AND AUTOMATION

Where API access is provided, additional API terms may apply.

You must not use the API to:

• circumvent security controls;
• overload infrastructure;
• access unauthorized information;
• perform automated abuse;
• conduct fraud;
• reverse engineer restricted functionality; or
• violate applicable rate limits.

247Invoicing may suspend API access where necessary to protect the platform or its users.

20. THIRD-PARTY SERVICES

The Services may contain integrations, links, or functionality provided by third parties.

Third-party services may include payment processors, email providers, cloud infrastructure, identity-verification providers, analytics providers, banking services, cryptocurrency providers, and customer-support platforms.

Third-party services are subject to their own terms and policies.

247Invoicing is not responsible for independent third-party services except to the extent required by applicable law.

21. SECURITY

We use reasonable technical and organizational measures designed to protect information and the Services.

However, no internet-connected service can be guaranteed to be completely secure.

You are responsible for maintaining appropriate security of your account credentials and devices.

You must notify us promptly if you believe your account has been compromised.

22. PRIVACY

Your use of the Services is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, store, disclose, and protect personal information.

The Privacy Policy forms part of these Terms.

23. SERVICE AVAILABILITY

We aim to maintain reliable Services but do not guarantee uninterrupted availability.

Services may become unavailable because of:

• maintenance;
• upgrades;
• security incidents;
• infrastructure failures;
• internet outages;
• banking outages;
• payment-provider outages;
• blockchain issues;
• force majeure;
• regulatory requirements; or
• other circumstances beyond our reasonable control.

We may modify, suspend, or discontinue features where reasonably necessary.

24. ACCOUNT SUSPENSION

We may suspend, restrict, or terminate an account where reasonably necessary because:

• these Terms have been violated;
• information provided is false or misleading;
• fraud is suspected;
• suspicious activity is detected;
• verification requirements have not been satisfied;
• applicable law requires action;
• a payment provider requires action;
• the account presents security or financial risk;
• the account is inactive for an extended period;
• prohibited activity is suspected; or
• continuing to provide the Services would create unreasonable risk.

Where legally and operationally appropriate, we may provide notice and an opportunity to resolve the issue.

Certain information may need to be retained after termination to comply with legal, accounting, fraud-prevention, dispute-resolution, or regulatory requirements.

25. TERMINATION BY YOU

You may request closure of your account at any time, subject to:

• unresolved transactions;
• outstanding obligations;
• pending disputes;
• verification requirements;
• applicable legal obligations; and
• other matters that must be resolved before closure.

Closing an account does not automatically cancel outstanding obligations.

26. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.

We do not guarantee that:

• the Services will always be available;
• every payment method will always be available;
• every transaction will succeed;
• every payout will occur within a particular time;
• the Services will be error-free;
• third-party services will remain available;
• information displayed will always be free from errors; or
• the Services will meet every particular business requirement.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

27. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, 247Invoicing and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Services.

To the extent legally permitted, our aggregate liability relating to the Services will be limited to the greater of:

1. the fees you paid directly to 247Invoicing during the twelve (12) months immediately preceding the event giving rise to the claim; or
2. USD 500.

This limitation does not apply where prohibited by law or to liability that cannot legally be limited.

28. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless 247Invoicing and its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• your violation of these Terms;
• your misuse of the Services;
• your products or services;
• your violation of applicable law;
• your infringement of third-party rights;
• fraudulent activity associated with your account; or
• disputes between you and your customers.

29. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When changes are material, we will provide reasonable notice through the Services, email, or another appropriate method.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

30. GOVERNING LAW

These Terms are governed by the laws of the jurisdiction of the 247Invoicing entity that provides the Services to you and, where relevant, of the payment partner that facilitates your transaction, without regard to conflict-of-law principles.

Any disputes will be resolved through the courts or dispute-resolution mechanism competent in that jurisdiction, unless applicable law provides otherwise.

31. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

32. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional policies or agreements expressly incorporated into them, constitute the agreement between you and 247Invoicing concerning the Services.

33. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

34. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our prior written consent, except where permitted by applicable law.

We may transfer or assign these Terms as part of a corporate restructuring, merger, acquisition, sale of assets, or similar transaction.
